​1.1 Scope of Services

DIGITAL CONSULTANTS LTD “SAFEGUARD CRYPTO HUB” provides digital strategy, technology integration, and consultancy services as defined in the separate Statement of work or engagement letters executed between the Company and the Client. These Terms and Conditions govern the engagement for all Services provided.

1.2 Fees, Payment, and Billing

Client agrees to pay the fees specified in the relevant SOW or engagement letter. Invoices are due and payable within thirty (30) days of the invoice date unless otherwise specified. Failure to pay may result in suspension of Services, interest charges on overdue amounts, and termination of the engagement.

1.3 Intellectual Property Rights

All pre-existing intellectual property (IP) owned by the Company, including but not limited to proprietary methodologies, tools, software, documentation, and underlying technologies, shall remain the sole property of the Company. Upon full payment for the Services, the Client is granted a non-exclusive, non-transferable, worldwide license to use the specific deliverables created for the Client under the SOW solely for the Client's internal business purposes.

1.4 Confidentiality

Both parties agree to treat all non-public information received from the other party as confidential and shall not disclose such information to any third party, except as required by law or as necessary for the performance of these Services.

1.5 Limitation of Liability

The total aggregate liability of the Company to the Client for any and all claims arising out of or in connection with these Terms, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees paid by the Client for the specific Services giving rise to the claim in the twelve (12) months preceding the event. The Company shall not be liable for any indirect, incidental, special, or consequential damages.

1.6 Governing Law and Dispute Resolution

These Terms and Conditions, and any dispute or claim arising out of or in connection with them, shall be governed by and construed in accordance with the laws of the Saint Kitts and Nevis, without regard to its conflict of law principles. All disputes shall be subject to the exclusive jurisdiction of the courts of the Saint Kitts and Nevis Islands.
